These Terms of Service ("Terms") govern your access to and use of the Kaluta KYC identity verification platform and API operated by Kaluta KYC Inc. ("Kaluta KYC"). By creating an account or using the service, you agree to these Terms.
1. The service
Kaluta KYC provides software that enables businesses to verify the identity of their end users through document verification, facial biometrics, and liveness detection. We provide the service on a software-as-a-service basis; you are responsible for how you use verification results.
2. Accounts
You must provide accurate registration information and keep your credentials and API keys confidential. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.
3. Acceptable use
- You must have a lawful basis and any required consent to verify each end user.
- You must not use the service to harass, discriminate, or violate any person's rights.
- You must not attempt to reverse engineer, overload, or circumvent the service's security.
- You must comply with all applicable laws, including AML/KYC and data-protection regulations.
4. Pricing & billing
The service is offered on a pay as you go basis at $1.00 USD per verification, billed against your prepaid balance. New accounts receive a one-time credit of 5 free verifications. Top ups are non-refundable except as required by law. We may change pricing with 30 days' notice.
5. Customer data
You retain ownership of the data you submit. You grant Kaluta KYC a limited license to process that data to provide the service. Our handling of personal data is described in our Privacy Policy and any Data Processing Agreement between us.
6. Service availability
We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance and may modify or discontinue features with reasonable notice.
7. Intellectual property
Kaluta KYC and its licensors own all rights in the platform, software, and trademarks. These Terms grant you no rights other than to use the service as permitted.
8. Disclaimers
The service is provided "as is". Verification results are probabilistic assessments and do not constitute legal advice or a guarantee of a person's identity. You are responsible for final onboarding and compliance decisions.
9. Limitation of liability
To the maximum extent permitted by law, Kaluta KYC's aggregate liability arising out of the service will not exceed the amounts you paid to Kaluta KYC in the three months preceding the claim. Kaluta KYC is not liable for indirect, incidental, or consequential damages.
10. Indemnification
You agree to indemnify Kaluta KYC against claims arising from your use of the service in violation of these Terms or applicable law.
11. Termination
You may close your account at any time. We may suspend or terminate access for breach of these Terms or for unlawful activity. Outstanding fees remain payable.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes will be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
